1.00 Basic Terms
1.01 Each user who fills and confirms the registry form hereby confirms usage terms and conditions.

1.02 In case of breach of these usage terms and conditions the user is obliged to accept any sanction according to a degree of misdemeanour.

1.03 AlloClick.com reserves right to change these terms and conditions anytime.

2.00 System registration and using the system
2.01 Each user may register only single account within AlloClick.com system.

2.02 Each user is mandatory to give truthful data during registration process.

2.03 Each user is mandatory to report errors in AlloClick.com system immediately after their discovery.

2.04 Each user is mandatory to immediately report to AlloClick.com team in case of suspicion of violating usage terms and conditions by other users.

2.05 Each user undertakes to not knowingly breach these usage terms and conditions and to not knowingly exploit system flaws.

3.00 Placement of AlloClick.com Ads
3.01 It is strictly forbidden to place AlloClick.com ads on pages violating EU laws.

3.02 It is strictly forbidden to place AlloClick.com ads on pages promoting nacism, racism, fascism and other socially unacceptable movements.

3.03 It is forbidden to place AlloClick.com ads on pages with hard pornography as well as on pages which contain or refer to child pornography or similar.

3.04 It is forbidden to place AlloClick.com ads on password protected pages where the placement of ads cannot be verified.

3.05 it is forbidden to place more than 4 AlloClick.com ads on a page.

4.00 Cheating
4.01 It is forbidden to click on own AlloClick.com ads.

4.02 It is forbidden to incite to clicking on own AlloClick.com ads.

4.03 It is strictly forbidden to display our ads through proxy services.

4.04 It is strictly forbidden to display our ads via systems that generate uneffective traffic.

4.05 It is strictly forbidden to place our ads on pages which are subsequently displayed as small sized with iframe on other sites.

4.06 It is strictly forbidden to howsoever generate low-quality displays and clicks on AlloClick.com ads.

5.00 Payments
5.01 Minimum Payout is 10 EUR, paid through PayPal.com service. Payment are sent every month.

5.02 We reserve the right to suspend a payment to as long as 60 days in case of suspicion of cheating activities on Your account.

5.03 AlloClick.com shall have the sole responsibility for calculation and reporting of all statistics, including impressions, leads, sales, clicks, earnings reports, and referral earnings.

6.00 Final Provision and Possible Penalties in Case of Violation of Terms and Conditions.
6.01 The first sanction level is reprimand and request for remedy of situation, in case of less grave violation of our usage terms and conditions.

6.02 The second level is user account blocking with no claim for payment of earned commission, in case of more grave violation of usage terms and conditions.

6.03 The final level is possibility of extortion of indemnity in case of very grave violation of usage terms and conditions. This level will be used only in case of deliberate generation of high number of displays or clicks on AlloClick.com banners from systems that generate uneffective traffic. and generating fake account to affiliate program.

6.04 We reserve the right to cancel AlloClick.com account without cause in case of violation or suspicion of violation of our usage terms and conditions.

7.00 Obligations and Eligibility Requirements.
7.01 Reside on a top-level domain. No sites hosted on free providers such as Geocities, Tripod, etc are eligible.

7.02 Your site may NOT contain any adult, sexually explicit, or mature content, use explicit language, or link to adult or sexually explicit content.

7.03 Your site may NOT allow AlloClick.com ads on any sites or pages for which you are not directly responsible or any sites that have not been reviewed and approved by AlloClick.com.

7.04 Your site may NOT infringe on any material protected by copyright.

ADVERTISER:

1.00 Trafficking Issue.
1.01 All Campaigns placed on the AlloClick.com are subject to AlloClick.com capacity limitations, as well as targeting limitations including user geography coverage and accuracy.

1.02 Advertiser hereby grants AlloClick.com the right to extend the end date of the Campaign to complete delivery of the contracted Campaign budget.

2.00 Representation and Warrantion.
2.01 Advertiser represents and warrants that it is the owner or is licensed to use the entire contents and subject matter contained in the Creative.

2.02 Advertiser represents and warrants that the Creative is free of any "worm", "virus" or other device that could impair or injure any person or entity.

2.03 Advertiser represents and warrants that The Creative does not violate any law or regulation governing false or deceptive advertising, sweepstakes, gambling, comparative advertising, or trade disparagement.

2.04 Advertiser represents and warrants that The Creative does not contain any misrepresentation, or content that is defamatory or violates any rights of privacy or publicity.

2.05 Advertiser represents and warrants that Advertiser is generally familiar with the nature of the Internet and will comply with all laws and regulations that may apply to display of the Creative on Sites.

2.06 Advertiser represents and warrants that The Creative does not and will not infringe any copyright, trademark, patent or other proprietary right.

2.07 Advertiser grants AlloClick.com and the Publisher the right and license to use, reproduce, transmit, and distribute the Creative.

3.00 Quality Control.
3.01 AlloClick.com reserves the right to refuse service to any new or existing Advertiser, in its sole discretion, with or without cause.

3.02 AlloClick.com reserves the right, in its sole discretion and without liability, to reject, omit or exclude any Creative for any reason at any time, with or without notice to the Advertiser and regardless of whether such Creative was previously accepted or published.

3.03 AlloClick.com does not accept Advertisers that engage in, promote or facilitate illegal activities.

3.04 AlloClick.com may in its sole discretion refuse or restrict use of any Creative that it deems appropriate or requires special handling.

3.05 This Agreement is cancelable by AlloClick.com immediately if Advertiser fails to disclose, conceals or misrepresents itself in any way.

4.00 Indemnification.
4.01 AlloClick.com and Advertiser hereby agree to indemnify, defend and hold harmless each other from and against all claims that may at any time be incurred under any agreement between AlloClick.com and Advertiser.

4.02 In no event shall either party be liable for special, indirect, incidental, or consequential damages, or from the provision of services.

5.00 Warranty Disclaimer.
5.01 AlloClick.com and Publishers do not make and hereby expressly disclaim all warranties with respect to any matter, including, the performance of any software programs incidental to services rendered by AlloClick.com.

5.02 AlloClick.com and Publishers specifically disclaim any implied warranty of merchantability or fitness for a particular purpose.

6.00 General.
6.01 This Agreement constitutes the entire agreement between the parties with respect to the subject matter, and supersedes and replaces all prior and contemporaneous understandings or agreements, written or oral, regarding such subject matter.

6.02 Advertiser shall support AlloClick.com's commitment to protect the privacy of the online community, which is hereby incorporated by reference.
